Welcome to Cirries. These Terms of Service ("Terms") govern your access to and use of the Cirries website, platform, and services (collectively, the "Services") provided by Cirries Technologies, Inc. ("Cirries," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Cirries provides AI-powered network observability and management solutions, including but not limited to:
- Network monitoring and analytics
- AI-driven anomaly detection (DART AI)
- Performance optimization tools
- SLA assurance and reporting
- Network security and threat detection
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
3. Account Registration
3.1 Account Creation
To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Termination
We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be inappropriate or harmful.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any aspect of the Services
- Use the Services for competitive analysis or to develop competing products
- Resell or redistribute the Services without our written consent
- Use automated systems to access the Services in a manner that exceeds reasonable use
5. Intellectual Property
5.1 Our Intellectual Property
The Services, including all content, features, and functionality, are owned by Cirries and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.
5.2 Your Content
You retain ownership of any data or content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a limited license to use, process, and store it solely for the purpose of providing the Services to you.
5.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to compensate you.
6. Data Processing
Our processing of personal data is governed by our Privacy Policy. For enterprise customers, data processing is additionally governed by our Data Processing Agreement, which forms part of these Terms.
7. Payment Terms
7.1 Fees
Certain Services require payment of fees. All fees are stated in US dollars unless otherwise specified. You agree to pay all applicable fees as described in your service agreement or order form.
7.2 Billing
We will bill you in accordance with the billing terms in your service agreement. You authorize us to charge your designated payment method for all fees due.
7.3 Taxes
Fees are exclusive of taxes. You are responsible for paying all applicable taxes, except for taxes based on our net income.
8. Service Level Agreement
Enterprise customers may be entitled to service level commitments as specified in their service agreement. Our standard SLA is available upon request.
9. Warranties and Disclaimers
9.1 Our Warranty
We warrant that the Services will perform materially in accordance with applicable documentation during your subscription period.
9.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CIRRIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Cirries and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.
12. Term and Termination
12.1 Term
These Terms are effective until terminated. Subscription terms are specified in your service agreement.
12.2 Termination
Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving notice.
12.3 Effect of Termination
Upon termination, your right to use the Services will immediately cease. We will make your data available for export for a reasonable period following termination.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles.
13.2 Arbitration
Any dispute arising from these Terms will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Cirries regarding the Services.
14.2 Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
15. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or through other communications. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
